Showroom Pricing End User License Agreement
Effective Date: July 1, 2026
1. Acceptance
By accessing or using the Showroom Pricing software and related services (the "Software"), you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, you may not access or use the Software.
2. License Grant
Subject to this Agreement, Showroom Pricing, LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes during your active subscription.
This Agreement grants a license to use the Software only. No ownership rights are transferred.
3. Ownership
The Software, including all source code, object code, user interfaces, documentation, graphics, trademarks, service marks, trade secrets, databases, and all related intellectual property rights, are and shall remain the exclusive property of Showroom Pricing, LLC.
4. Restrictions
You agree that you will not:
Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software.
Copy, modify, distribute, lease, sublicense, sell, or transfer the Software.
Circumvent any security features or access restrictions.
Use the Software to develop a competing product or service.
Use the Software for any unlawful purpose.
Permit unauthorized users to access your account.
5. Customer Data
You retain ownership of the information, pricing, product data, customer information, and other content you upload into the Software.
You grant Showroom Pricing the limited rights necessary to host, process, transmit, back up, and display your data solely for the purpose of providing the Software and related services.
6. Third-Party Services
The Software may integrate with third-party products and services, including Intuit QuickBooks Online.
Showroom Pricing is not responsible for the availability, functionality, security, or policies of third-party providers. Changes made by third-party providers may affect Software functionality.
7. Software Updates
Showroom Pricing may release updates, enhancements, bug fixes, security patches, or new features from time to time. Continued use of the Software following an update constitutes acceptance of those changes.
8. Availability
Showroom Pricing strives to provide reliable service but does not guarantee uninterrupted or error-free operation. The Software may occasionally be unavailable due to maintenance, upgrades, internet outages, or circumstances beyond our reasonable control.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWROOM PRICING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWROOM PRICING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOODWILL.
SHOWROOM PRICING'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SHOWROOM PRICING DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Termination
This Agreement remains in effect while you use the Software.
Showroom Pricing may suspend or terminate access if you violate this Agreement or fail to maintain an active subscription.
Upon termination, your license to use the Software immediately ends.
12. Governing Law
This Agreement shall be governed by the laws of the State of Missouri, without regard to its conflict of law principles.
13. Changes to this Agreement
Showroom Pricing may update this Agreement from time to time. The revised version will be posted on this page with an updated Effective Date. Continued use of the Software after changes become effective constitutes acceptance of the revised Agreement.
